I. JOB INFORMATION
Company name: “UzAuto” JSC
Job title: Member of Supervisory Board
Duration of the assignment: 1 year with possibility of extension
Duty station: Uzbekistan
II. BACKGROUND INFORMATION ABOUT “UzAuto” JSC (UzAuto)
The Government of Uzbekistan has been undertaking major reforms in the automobiles industry.
Going forward, based on good international practices, the Government intends to properly sequence the reforms and take actions on the foundational aspects, along with the institutional reforms, which include, among others: (i) establishing an enabling corporate governance structure for the unbundled entities to be effectively functional; (ii) improving the sector policy and regulatory framework; (iii) improving service delivery for the benefit of Uzbekistan’s citizens.
The role of company UzAuto is entrusted with the following key functions:
• production, assembly and sale of light and commercial vehicles;
• production and sale of car parts and spare parts;
• export and import operations, as well as intermediary operations;
• provision of engineering services.
III. WHAT WE ARE LOOKING FOR IN OUR NEW BOARD MEMBERS:
• Acting in the best interests of the shareholders and other stakeholders;
• Contributing to the entity's mission, programs, policies, and needs;
• Regularly attending board meetings and participating actively and conscientiously;
• Keeping up with issues and trends that affect the Company;
• Participating in the evaluation of business operations and executives;
• Approving audit reports, budgets and business decisions;
• Understanding the organization’s financial affairs and ensuring fiduciary responsibilities are met;
• Ensuring that the company complies with legal requirements;
• Maintaining confidentiality on all internal organizational affairs;
• Bring an external, independent perspective and advise the Board accordingly;
• Provide independent judgement and advice on issues of strategy, vision, performance, resources and standards of conduct and constructively challenge, influence and help the Board develop strategies. Challenge executive directors on their decision making;
• Help to determine appropriate levels of remuneration of executive directors and senior management and to advise on reward mechanisms;
• Advise on risk management and internal control frameworks, obtain assurance that financial information is accurate and that financial controls and risk management systems are robust and defensible;
• In accordance with agreed Board procedures, monitor the performance and conduct of management in meeting agreed goals and objectives and statutory responsibilities and scrutinize the performance of management against the objectives and values of the company;
• Advise on systems which support the integrity and quality of management information;
• Advise on governance arrangements and assist with succession planning, including chairing Appointments Panel;
• Be a member (and, where approved by the Board, be Chair) of committees established by the Board to exercise delegated responsibility and support accountability;
• As a member of the Board, appoint, remove, support, encourage and where appropriate ‘mentor’ the Chief Executive and Executive Directors, and determination of appropriate levels of remuneration for executive directors;
• Provide access to useful contacts and networks to help develop new business in line with strategy;
• Identify opportunities for the companies, for example new services, clients or partners.
IV. QUALIFICATIONS:
• Experience of working successfully at a Senior or Board level in an organization of an equivalent size and complexity, with one of the following specialist areas of knowledge:
• Mechanical engineering in automotive field, ideally with managerial or leadership responsibility
• Finance and accountancy о governance, bringing strategic analysis, decision making, risk and performance management skills, ideally with a customer or patient focus
• Experience with information technology, e-commerce or digital marketing
• Commercial experience, bringing both governance and international experience with a customer focus;
• Evidence of success at a senior level within an organization of comparable scale, complexity, whether within the SOEs, wider public or commercial sectors;
• Experience of strategic leadership of organizational change and culture in challenging economic and fiscal times;
• International experience (such as living and working outside of the home county) including candidate's profile, understanding of the language and culture of applying countries;
• Highest moral and ethical character and should demonstrate independence,
objectivity and be capable of serving as a representative of the shareholders;
• Intelligence, self-assuredness, a high ethical standard, inter-personal skills, independence, courage, communication skills and commitment;
• Willingness to commit, as well as have, sufficient time available to discharge the duties of Board membership;
• The confidence and motivation to improve the company’s quality of service and performance, and to plan for and address challenges as they are forecast or arise;
• An understanding of and interest in industry the Company operates.

V. SELECTION PROCEDURE:
